Expat Relocation Consulting
This Consulting Services Agreement ("Agreement") is entered into as of the date set forth below, by and between:
Consultant and Client are each referred to herein individually as a "Party" and collectively as the "Parties."
Consultant agrees to provide Client with the following consulting package:
| Package / Service | Sessions | Duration Per Session | Amount |
|---|---|---|---|
| — | — | 45 minutes (via Zoom) | — |
| Total Due | — | ||
Services include one-on-one video consulting sessions covering topics such as international relocation planning, expat lifestyle strategy, country/region research, cost-of-living analysis, banking and financial logistics for expats, healthcare access abroad, visa pathways (informational only — see §9), and related subjects as mutually agreed upon by the Parties. All sessions are conducted via Zoom and scheduled through Calendly.
Sessions in multi-session packages do not expire unless otherwise specified in writing by both Parties. Session scheduling is subject to Consultant's availability. Client should schedule sessions at least 24 hours in advance via the designated Calendly link.
Payment for services is due in full prior to the first session, unless a monthly retainer subscription arrangement has been established through the Ko-fi platform, in which case payment is due at the start of each billing cycle.
Due to the nature of consulting services and the time committed by the Consultant to prepare for each engagement, the following refund policy applies:
Each Party agrees to hold in strict confidence any non-public, proprietary, or personally identifiable information disclosed by the other Party in connection with this Agreement ("Confidential Information").
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSULTANT SHALL NOT BE LIABLE TO CLIENT FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF BUSINESS OPPORTUNITY, VISA DENIAL, TAX PENALTIES, FINANCIAL LOSSES, OR DAMAGES ARISING FROM RELIANCE ON INFORMATION PROVIDED DURING SESSIONS.
Consultant's total cumulative liability under or related to this Agreement, regardless of the cause of action or the theory of liability, shall not exceed the total amount paid by Client to Consultant under this Agreement in the three (3) months preceding the event giving rise to the claim.
Client assumes full responsibility for all decisions made based on information or guidance received from Consultant. The outcome of any relocation, visa application, financial arrangement, or other action taken by Client is solely the Client's responsibility.
Consultant is an independent contractor and not an employee, partner, agent, or joint venturer of Client. Nothing in this Agreement shall be construed to create an employment relationship, partnership, or agency between the Parties. Consultant retains sole control over the manner and means by which services are performed, subject to the deliverables agreed upon herein.
Any materials, guides, templates, frameworks, or other content provided by Consultant to Client during the engagement are provided for Client's personal use only. Client may not resell, redistribute, sublicense, reproduce for commercial purposes, or publicly publish such materials without the prior written consent of Consultant. All intellectual property rights in materials created by Consultant remain the sole property of BrightShadow2k.
Legal Advice: Consultant is not a licensed attorney. No information provided by Consultant constitutes legal advice or legal counsel. Client should consult a licensed attorney for any questions involving contracts, visa applications, immigration law, property law, estate planning, or any other legal matter.
Financial & Investment Advice: Consultant is not a registered investment advisor, broker-dealer, certified financial planner, or securities professional. Nothing discussed during sessions constitutes investment advice, a recommendation to buy or sell any security, or a guarantee of any financial outcome. Clients should consult a licensed financial professional before making investment or financial decisions.
Tax Advice: Consultant is not a certified public accountant, enrolled agent, or tax attorney. No information provided during sessions constitutes tax advice. Expat tax situations are highly individualized and complex. Clients are strongly encouraged to work with a CPA experienced in expatriate taxation (including FBAR, FATCA, and foreign income exclusion rules) before relocating or restructuring their financial affairs.
Immigration Advice: Information regarding visa types, residency programs, and immigration pathways is provided for general informational and educational purposes only. Consultant does not assist with filing immigration applications, does not represent clients before any government agency, and does not provide immigration legal services. Clients should engage a licensed immigration attorney for immigration-specific guidance.
Healthcare Advice: Consultant is not a licensed medical professional. Any discussion of healthcare systems, international health insurance, or medical considerations abroad is informational only and does not constitute medical advice.
Disclosure of Material Connections: Consultant participates in affiliate and partner programs with certain third-party providers, which may include banks, money-transfer services, insurance providers, and telecommunications companies. Where Client opens an account or purchases a product through a link, code, or recommendation provided by Consultant — whether in a session, in a written deliverable, on the BrightShadow2k website, or in any accompanying resource document — Consultant may receive a commission or referral fee from that provider.
No Additional Cost to Client: Any such compensation is paid by the provider and does not increase the price Client pays. Client is never charged more for using a link provided by Consultant than for going to the provider directly.
Basis of Recommendations: Providers are recommended on the basis of their suitability for Client's stated circumstances. Consultant does not accept payment in exchange for a recommendation, and the existence of an affiliate relationship is not the reason a provider is recommended. Client remains free to use any provider, including providers with which Consultant has no relationship.
Client Responsibility: Consistent with § 9, recommendations of third-party providers are informational and do not constitute financial, tax, or legal advice. Client is responsible for reviewing each provider's own terms, fees, and eligibility requirements before opening any account, and for satisfying itself that the provider is appropriate for Client's circumstances.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.
In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the Parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, the Parties agree to submit to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings to be held in Florida or conducted remotely as agreed. The arbitrator's decision shall be final and binding upon both Parties.
Notwithstanding the foregoing, either Party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, and understandings of whatever nature. This Agreement may only be amended in writing signed by both Parties. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Failure by either Party to enforce any provision of this Agreement shall not constitute a waiver of that Party's right to enforce such provision in the future.
The Parties agree that electronic signatures, typed names, and checked acknowledgment boxes are legally binding and carry the same force and effect as handwritten signatures, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001, and the Florida Electronic Signature Act, Florida Statutes § 668.50. By signing or checking the acceptance box below, Client acknowledges that they have read, understood, and agreed to all terms of this Agreement.
